User Agreement

This User Agreement (this "Agreement") governs your access to and use of RestaurantBuyouts.com, including any related website, platform, marketplace, listing service, messaging system, member dashboard, content, features, tools, emails, and services offered by RestaurantBuyouts.com, Inc. ("RestaurantBuyouts.com," "Company," "we," "us," or "our").

By accessing, browsing, registering for, posting on, messaging through, or otherwise using RestaurantBuyouts.com, you agree to be bound by this Agreement and our Privacy Policy. If you do not agree, you may not access or use the platform.

1. Purpose of the Platform

RestaurantBuyouts.com is an online marketplace designed to help users list, browse, and communicate regarding used commercial restaurant equipment and related items.

The platform is intended to facilitate connections between buyers and sellers. RestaurantBuyouts.com does not own, sell, inspect, repair, certify, appraise, transport, store, install, disconnect, remove, deliver, finance, insure, warrant, or guarantee any equipment listed on the platform.

Unless expressly stated in a separate written agreement signed by RestaurantBuyouts.com, all negotiations, inspections, meetings, payment arrangements, pickup arrangements, shipping arrangements, delivery arrangements, documentation, and final transaction decisions are handled directly between the buyer and seller.

RestaurantBuyouts.com provides a platform for users to connect, but RestaurantBuyouts.com is not a party to any transaction between users and does not assume responsibility for any buyer, seller, equipment, listing, communication, inspection, payment, pickup, removal, delivery, shipping, installation, repair, refund, dispute, or completed or failed transaction.

2. Eligibility and Account Registration

To use certain features of the platform, including posting equipment for sale, saving listings, or messaging other users, you may be required to create an account.

You agree to provide accurate and current registration information, including your name, email address, phone number, and any other required information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

RestaurantBuyouts.com may require email verification before allowing access to certain platform features. Email verification confirms only that the user had access to the email address used during registration. Email verification does not confirm a user's identity, business status, ownership of equipment, authority to sell, financial ability, trustworthiness, location, safety, or the accuracy of any listing, message, representation, or transaction.

You may not create an account using false information, another person's identity, or an email address you are not authorized to use.

3. No Identity, Equipment, or Transaction Verification Unless Separately Offered

Unless RestaurantBuyouts.com expressly provides a separate identity, business, or seller verification feature, users should assume that other users have only completed basic account registration and email verification.

Email verification confirms only that the user had access to the email address used during registration. Email verification does not confirm the user's identity, business status, ownership of equipment, authority to sell, location, trustworthiness, financial ability, safety, or the accuracy of any listing, message, statement, or transaction.

RestaurantBuyouts.com may monitor listings and messages, review submissions, approve or reject content, flag suspicious activity, use moderation tools, or remove users or content from the platform. However, moderation, review, approval, denial, or removal does not mean RestaurantBuyouts.com has verified the identity of any user, inspected any equipment, confirmed ownership, confirmed legal authority to sell, confirmed equipment condition, confirmed equipment safety, confirmed equipment value, approved any transaction, or guaranteed any outcome.

You understand that RestaurantBuyouts.com cannot and does not guarantee who you are communicating with, whether a user is who they claim to be, whether an item exists, whether the seller owns the item, whether the equipment is accurately described, whether the equipment is safe, whether payment will be made, whether an item will be delivered, whether a buyer or seller will perform, or whether any transaction will be completed.

4. User Listings

Users who list equipment are solely responsible for the accuracy, completeness, legality, and truthfulness of their listings.

By submitting a listing, you represent and agree that:

  1. you have the legal right and authority to list and sell the equipment;
  2. the listing is accurate, complete, and not misleading;
  3. the equipment is not stolen;
  4. the equipment is not subject to a lien, lease, financing arrangement, ownership dispute, restriction, or third-party claim unless that information is clearly disclosed in the listing;
  5. all photos, descriptions, model numbers, serial numbers, pricing, condition statements, and other listing details are truthful to the best of your knowledge;
  6. you will disclose known defects, missing parts, cosmetic damage, operational issues, testing limitations, installation requirements, removal requirements, and any other material information; and
  7. your listing does not violate any law, regulation, contract, intellectual property right, or third-party right.

RestaurantBuyouts.com may approve, reject, edit, remove, suspend, or limit any listing at any time and for any reason. Approval of a listing does not mean RestaurantBuyouts.com has verified the equipment, inspected the item, confirmed ownership, confirmed the seller's authority, or endorsed the listing.

RestaurantBuyouts.com may require certain listing confirmations, checkboxes, fields, photos, descriptions, or seller acknowledgments, but those requirements are for platform administration only and do not create any verification, endorsement, inspection, warranty, or guarantee by RestaurantBuyouts.com.

5. Buyer Responsibility

Buyers are solely responsible for evaluating equipment before purchasing. This includes, without limitation, reviewing photos, asking questions, confirming specifications, checking dimensions, reviewing model and serial numbers, inspecting the equipment when practical, and determining whether the equipment is appropriate for the buyer's intended use.

Commercial restaurant equipment may involve electrical, gas, plumbing, refrigeration, ventilation, code, permitting, safety, installation, removal, or transportation requirements. Buyers are responsible for determining whether the equipment is safe, suitable, code-compliant, functional, repairable, installable, clean, complete, and appropriate for their intended location and use.

Buyers should not assume that used equipment includes any warranty, manual, accessories, parts, delivery, installation, service, maintenance history, certification, or compliance documentation unless those items are specifically agreed to by the seller in writing.

6. Seller Responsibility

Sellers are solely responsible for the equipment they list and the statements they make. Sellers should describe equipment honestly and accurately.

Sellers should disclose whether equipment is working, untested, damaged, incomplete, missing parts, under lien, leased, financed, restricted, previously repaired, disconnected, in storage, or subject to any ownership or transfer limitation.

Sellers are responsible for clarifying whether the buyer is responsible for removal, disconnection, loading, transportation, taxes, insurance, permits, repairs, cleaning, or other costs.

Sellers should confirm that payment has cleared before releasing equipment. Sellers should be cautious of suspicious payment arrangements, overpayment schemes, fake payment confirmations, unusual third-party pickup instructions, or requests to refund excess funds.

7. Inspections and Due Diligence

RestaurantBuyouts.com strongly encourages buyers to inspect equipment before purchase whenever practical. Photos and descriptions may not show every detail. In-person inspection may help confirm condition, size, configuration, model number, serial number, missing parts, utility requirements, and suitability.

For higher-value equipment or equipment involving electrical, gas, plumbing, refrigeration, ventilation, or installation issues, buyers should consider using a qualified technician, installer, equipment specialist, licensed contractor, or other knowledgeable person.

All inspections are the responsibility of the buyer and seller. RestaurantBuyouts.com does not perform inspections and does not verify the condition, safety, cleanliness, functionality, legality, value, authenticity, suitability, or code compliance of any equipment.

8. Meetings, Pickup, Removal, and Transportation

Users are responsible for their own safety when arranging meetings, inspections, pickups, removals, deliveries, or other in-person interactions.

When meeting another user, consider meeting during daylight hours, bringing another person, confirming the address and contact person in advance, and using common sense. If equipment is located at a restaurant, warehouse, storage facility, business, or other commercial location, confirm the location, access, timing, loading conditions, and removal requirements before traveling.

Commercial restaurant equipment can be heavy, difficult to move, and may require professional handling. Buyers and sellers should agree in advance who is responsible for disconnection, removal, loading, transportation, insurance, permits, damage during removal, and damage during delivery.

RestaurantBuyouts.com is not responsible for any injury, loss, damage, theft, property damage, accident, dispute, or claim arising from any meeting, inspection, pickup, removal, loading, shipping, delivery, installation, or transaction.

9. Payments, Deposits, and Transaction Documents

RestaurantBuyouts.com does not process payments, hold funds, provide escrow, verify payment, guarantee payment, guarantee delivery, or guarantee completion of any transaction unless expressly stated in a separate written agreement signed by RestaurantBuyouts.com.

Users should use caution before sending money, deposits, wire transfers, payment app transfers, gift cards, cryptocurrency, cashier's checks, money orders, or any other form of payment. Be cautious of anyone who pressures you to act immediately, refuses inspection, avoids basic questions, changes payment terms, or requests unusual payment methods.

For higher-value purchases, buyers and sellers should consider using a written bill of sale, invoice, purchase agreement, receipt, or other transaction document that identifies the equipment, price, payment terms, pickup terms, removal terms, delivery terms, condition, and any other agreed terms.

RestaurantBuyouts.com is not responsible for payment disputes, chargebacks, bounced checks, fake confirmations, deposits, refunds, non-delivery, non-payment, or failed transactions.

10. User Assumption of Risk

You understand and agree that buying, selling, inspecting, removing, transporting, installing, repairing, or using used commercial restaurant equipment may involve risk. Equipment may be heavy, defective, incomplete, damaged, unsafe, improperly maintained, incorrectly described, non-compliant with applicable codes, or unsuitable for your intended use.

You voluntarily assume all risks associated with your use of the platform and any communications, meetings, inspections, negotiations, payments, purchases, sales, pickups, removals, transportation, delivery, installation, repair, use, or attempted transaction involving any equipment or other user.

RestaurantBuyouts.com is not responsible for personal injury, death, property damage, financial loss, theft, fraud, payment loss, equipment defects, failed transactions, transportation issues, installation issues, code compliance issues, or disputes between users.

11. Red Flags and User Caution

Users should be cautious if a listing appears unusually inexpensive, contains limited information, uses stock photos only, includes inconsistent details, lacks model or serial information, or if the other party refuses to provide additional photos, videos, model information, equipment location, inspection access, or clear transaction terms.

Users should also be cautious if another user tries to move the conversation away from the platform too quickly, asks for payment before basic details are confirmed, pressures immediate action, changes payment or pickup terms at the last minute, claims a third party will handle the transaction without clear documentation, or refuses to answer reasonable questions.

If something does not feel right, you should pause, ask more questions, decline the transaction, or report the listing or user to RestaurantBuyouts.com.

12. Internal Messaging

RestaurantBuyouts.com may provide an internal messaging system to allow registered users to communicate regarding listings. Messages may be subject to moderation, review, approval, rejection, archiving, spam filtering, abuse controls, or other platform controls.

You agree not to use the messaging system to send unlawful, threatening, harassing, deceptive, fraudulent, abusive, obscene, defamatory, infringing, spam, or otherwise improper communications.

RestaurantBuyouts.com may review, approve, deny, archive, restrict, or block messages at its discretion. However, message moderation does not mean that RestaurantBuyouts.com verifies the identity, intent, honesty, safety, authority, financial ability, or reliability of any user.

RestaurantBuyouts.com may retain messages and related records for internal, security, compliance, dispute review, legal, or operational purposes.

13. User Conduct

You agree not to:

  1. post false, misleading, fraudulent, or unlawful listings;
  2. list equipment you do not own or do not have authority to sell;
  3. impersonate another person or business;
  4. use the platform for scams, phishing, spam, or deceptive activity;
  5. interfere with platform security or operation;
  6. upload viruses, malicious code, or harmful files;
  7. scrape, copy, harvest, or misuse platform data;
  8. harass, threaten, abuse, or deceive other users;
  9. violate any applicable law or regulation;
  10. use the platform to sell prohibited, unsafe, stolen, counterfeit, restricted, or unlawful items;
  11. bypass moderation, security, registration, or messaging controls; or
  12. use the platform in a manner that harms RestaurantBuyouts.com, other users, or the integrity of the marketplace.

14. Platform Moderation, Suspension, and Enforcement

RestaurantBuyouts.com reserves the right, in its sole discretion, to monitor, review, moderate, edit, reject, suspend, restrict, remove, or delete any listing, message, account, image, content, or user activity at any time, with or without notice, if RestaurantBuyouts.com believes such action is necessary or appropriate to protect the platform, other users, the public, the integrity of the marketplace, or RestaurantBuyouts.com.

RestaurantBuyouts.com may suspend, restrict, or terminate any user account at any time, with or without notice, for any suspected or actual violation of this Agreement, suspicious activity, misleading information, abusive conduct, fraudulent activity, misuse of the messaging system, unsafe conduct, unlawful activity, repeated complaints, or any conduct RestaurantBuyouts.com determines, in its sole discretion, is inconsistent with the purpose or safe operation of the platform.

RestaurantBuyouts.com is not obligated to monitor all listings, messages, users, or activity. Any moderation, review, approval, rejection, removal, suspension, or account action taken by RestaurantBuyouts.com is for platform administration and risk management only and does not create any duty, responsibility, warranty, verification, guarantee, or liability.

15. No Endorsement

RestaurantBuyouts.com does not endorse any user, seller, buyer, equipment, listing, price, description, message, transaction, business, or third-party service.

Any listing approval, message approval, featured placement, search result, category placement, seller badge, or platform communication does not constitute an endorsement, warranty, guarantee, recommendation, certification, or verification by RestaurantBuyouts.com.

16. Third-Party Services and Links

The platform may include links to third-party websites, services, payment providers, shipping providers, financing providers, advertisers, logistics providers, inspection providers, or other resources. RestaurantBuyouts.com is not responsible for third-party content, services, pricing, practices, errors, omissions, delays, losses, or disputes.

Your use of third-party services is at your own risk and may be governed by separate terms and policies.

17. No Warranty by RestaurantBuyouts.com

The platform is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, RestaurantBuyouts.com disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, reliability, security, and uninterrupted operation.

RestaurantBuyouts.com does not warrant or guarantee that:

  1. the platform will be uninterrupted, error-free, secure, or available at all times;
  2. listings will be accurate, complete, current, lawful, or reliable;
  3. users are who they claim to be;
  4. sellers own the equipment they list;
  5. equipment exists, functions, is safe, is code-compliant, is clean, is complete, or is suitable for any purpose;
  6. buyers will pay;
  7. sellers will deliver;
  8. transactions will be completed;
  9. messages will be truthful or accurate; or
  10. any dispute will be resolved.

18. Limitation of Liability

To the fullest extent permitted by law, RestaurantBuyouts.com, Inc., its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns shall not be liable for any direct, indirect, incidental, consequential, special, exemplary, punitive, or other damages arising out of or relating to:

  1. your use of or inability to use the platform;
  2. any listing, message, communication, user content, or transaction;
  3. any equipment listed, purchased, sold, inspected, removed, delivered, installed, repaired, or used;
  4. any meeting, inspection, pickup, delivery, removal, shipping, loading, accident, injury, property damage, theft, fraud, payment dispute, non-payment, non-delivery, or failed transaction;
  5. any conduct of another user;
  6. any inaccurate, incomplete, misleading, fraudulent, or unlawful listing or message;
  7. any unauthorized access, technical failure, service interruption, data loss, or security issue;
  8. any third-party service, link, provider, advertiser, payment method, shipper, inspector, technician, installer, or logistics provider; or
  9. any decision you make based on information available through the platform.

The limitations of liability in this Agreement apply regardless of the legal theory asserted, including contract, tort, negligence, strict liability, warranty, statute, equity, or any other basis, and even if RestaurantBuyouts.com has been advised of the possibility of such damages.

If RestaurantBuyouts.com is found liable despite the limitations in this Agreement, the maximum liability of RestaurantBuyouts.com shall not exceed the greater of: (i) the amount you paid directly to RestaurantBuyouts.com for the specific service giving rise to the claim during the three months before the claim arose, or (ii) one hundred dollars ($100.00).

19. Release of Claims

Because RestaurantBuyouts.com is not a party to transactions between users, you release RestaurantBuyouts.com, Inc., its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from any and all claims, demands, damages, losses, liabilities, disputes, costs, and expenses arising out of or relating to your communications, meetings, inspections, negotiations, payments, purchases, sales, pickup arrangements, shipping arrangements, removal arrangements, equipment condition, equipment ownership, equipment safety, or transactions with other users.

This release applies whether the claim is known or unknown, suspected or unsuspected, disclosed or undisclosed, direct or indirect.

You understand that this release is intended to be as broad as permitted by law and applies to claims arising from the acts, omissions, statements, listings, messages, conduct, payments, inspections, meetings, equipment, or transactions of other users and third parties.

20. Indemnification

You agree to defend, indemnify, and hold harmless RestaurantBuyouts.com, Inc., its owners, officers, directors, employees, contractors, agents, affiliates, successors, and assigns from and against any claims, demands, damages, losses, liabilities, costs, fees, and expenses, including reasonable attorneys' fees, arising out of or relating to:

  1. your use of the platform;
  2. your listings, messages, content, representations, or conduct;
  3. your purchase, sale, inspection, pickup, delivery, removal, installation, repair, or use of equipment;
  4. your violation of this Agreement;
  5. your violation of any law, regulation, contract, or third-party right;
  6. your dispute with another user;
  7. your failure to disclose material information regarding listed equipment; or
  8. any claim that your content infringes or violates the rights of another person or entity.

21. User Content License

By submitting listings, images, descriptions, messages, or other content to the platform, you grant RestaurantBuyouts.com a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, host, store, reproduce, display, publish, modify, format, distribute, and promote such content in connection with operating, marketing, improving, and protecting the platform.

You represent that you have all rights necessary to submit the content and grant this license.

22. Intellectual Property

RestaurantBuyouts.com, including its name, logo, platform design, layout, features, software, text, graphics, branding, and other materials, is owned by RestaurantBuyouts.com, Inc. or its licensors and is protected by intellectual property laws.

You may not copy, reproduce, distribute, modify, reverse engineer, scrape, resell, or exploit any part of the platform without prior written permission from RestaurantBuyouts.com.

23. Account Deletion and Archived Records

You may request or use available tools to delete or deactivate your account. Account deletion may remove your public profile access and hide active listings from public view. However, RestaurantBuyouts.com may retain records of listings, messages, account activity, moderation history, transaction-related communications, and other information for internal, legal, compliance, security, audit, and operational purposes.

Deleting your account does not require RestaurantBuyouts.com to delete records that it is permitted or required to retain.

24. Platform Emails and Communications

By creating an account, you agree that RestaurantBuyouts.com may send you account-related, transactional, security, listing, messaging, moderation, and administrative emails. These communications are part of the platform service.

Marketing or promotional emails may be subject to separate consent and unsubscribe options as required by applicable law.

25. Privacy

Your use of the platform is also governed by our Privacy Policy. Please review it carefully. By using RestaurantBuyouts.com, you agree to the collection, use, storage, and handling of information as described in the Privacy Policy.

26. Changes to the Platform

RestaurantBuyouts.com may modify, suspend, limit, discontinue, or change any part of the platform at any time, including features, listing rules, messaging rules, account requirements, moderation processes, fees, search tools, categories, and availability.

RestaurantBuyouts.com is not liable for any modification, suspension, or discontinuation of the platform or any feature.

27. Changes to this Agreement

RestaurantBuyouts.com may update this Agreement from time to time. The updated version will be posted on the platform with a revised "Last Updated" date. Your continued use of the platform after changes are posted means you accept the updated Agreement.

28. Governing Law and Venue

This Agreement shall be governed by and interpreted in accordance with the laws of the State of Florida, without regard to conflict of law principles.

To the fullest extent permitted by law, any dispute, claim, or action arising out of or relating to this Agreement or your use of the platform shall be brought exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction and venue in those courts.

Nothing in this Agreement limits RestaurantBuyouts.com's right to seek injunctive relief, equitable relief, or other emergency relief in any court of competent jurisdiction to protect the platform, its users, its intellectual property, its confidential information, or its business operations.

29. No Class Actions

To the fullest extent permitted by law, you agree that any claim or dispute must be brought only on an individual basis and not as a class action, collective action, representative action, private attorney general action, or consolidated proceeding.

30. Severability

If any provision of this Agreement is found to be invalid, unlawful, or unenforceable, the remaining provisions will remain in full force and effect.

31. Entire Agreement

This Agreement, together with the Privacy Policy and any additional terms posted by RestaurantBuyouts.com, constitutes the entire agreement between you and RestaurantBuyouts.com regarding your use of the platform.
